ST. CATHERINE OF SIENA MEN'S CLUB

BY-LAWS

Section 1.    NOMINATIONS AND ELECTIONS  

 

a)         The election of Officers and Board Members-at-Large shall be conducted at the annual election meeting which shall be the regular meeting held during the month of April and installed in the month of May.

b)         At the regular membership meeting held two months prior to the annual election meeting, a nominating committee shall be constituted and shall be composed of five (5) members, namely, the Pastor, two members selected by and from the Executive Board, and two members elected from the membership present and voting at said meeting. When necessary, the top two vote getters will be elected.

c)         The nominating committee shall nominate at least one (1) candidate for each office and shall present their nominations at the meeting of the membership held once a month prior to the annual election meeting. At this meeting, nominations from the floor shall be in order, after which nominations shall be closed. In order for nominations from the floor to qualify, it will be required that the nomination consists of the mover and three (3) seconds. All nominees shall have given their consent to be nominated.

d)         Voting shall be conducted by written ballot.

e)         Runoffs will be conducted between the top two vote getters, when necessary.

f)          For Board Members-at-Large, top three getters will be duly elected.

Section 2. DUTIES OF OFFICERS

a)         President. Shall preside at all meetings of the membership and the Executive Board; shall appoint all standing committee chairmen; and shall establish new special committees as needed and appoint their chairmen.

b)         Vice-President. Shall assist the President in the case of his absence, resignation or death and shall assist the President in the conduct of his affairs. He will also assume the responsibility of Sergeant at Arms at the monthly meeting and club events to assure that these activities are conducted in an orderly manner.

c)         President-Elect. Shall assist the president and Vice-President, with the view of assuming the duties of the President in the coming year. Shall be responsible for checking bank statements on a monthly basis.

d)         Secretary. Shall record the minutes of all meetings of the membership and of the Executive Board and shall maintain the files of the organization. He shall maintain an up-to-date membership list of the organization with addresses and telephone numbers whenever possible; and shall attend to such correspondence as may be required or directed by the President.

e)         Treasurer. Shall keep a list of all dues paying members; shall receive all money of the organization and shall keep an accurate account of money received and expended; shall maintain and keep balanced a bank checking account for the organization; and shall present a statement at all meetings and shall give an annual report at the Apri1 meeting.

f)          Treasurer-Elect. Shall assist the Treasurer, with the view of assuming .the duties of the Treasurer in the coming year. Shall maintain all financial records required by federal, state and parish governments related to the conduct of the annual $10,000.00 Raffle as well as records and reports required by the $10,000.00 Raffle Committee. This will be a non-voting member of the Executive Board.

g)         All officers shall keep a permanent record of their work and shall turn same over to their successors within thirty (30) days after leaving office. All resignations of officers must be submitted in writing.

Section 3. DUTIES OF EXECUTIVE BOARD

a)         The Executive Board shall meet at least once a month prior to the regular membership meeting.

b)         The Executive Board may call a special meeting of the regular membership, provided said meeting shall be scheduled so as to give at least five (5) days notice to the membership of said special meeting.

c)         A majority [one (1) more than half (1/2)] of the Executive Board shall constitute a quorum for Executive Board meetings.

d)         All requests for financial, or other, assistance shall first be submitted to the Executive Board for review. The Board will refer the request for consideration to the general membership, if approved by majority vote, at the next regular monthly meeting.  Alternatively, the Board, by majority vote, can refuse to submit said request which refusal shall deem such request as finally denied.

e)         The treasury funds of St. Catherine of Siena Men's Club shall be available upon request for the benefit of the children and young adults of this parish, and for the further purposes of the Men's Club. Any request shall be personally submitted by the representative of the requesting group to the Executive Board. This representative shall be prepared to inform the Board of the proposed use of the funds, the financial position of the group, number of individuals to be benefited, percentage of overall expenditure that will be financed by the requesting group and any other pertinent inquiry by members of the Board.

f)          The Board will disburse funds for approved requests as expenses of the requesting group are incurred, rather than in a lump sum. The expenditure shall be documented and a substantiating explanation shall be submitted to the Board to support the actual expenditures after they are made.

g)         The Executive Board shall have full authority to authorize any disbursement of the funds of the organization. All disbursements, or savings vehicles, of the operating account shall be signed by any two (2) of the following officers: The President, Vice-President, or Treasurer. All disbursements of the general account shall be signed by either the President, Vice-President, or Treasurer.

(NOTE: the last sentence referring to the Bingo Account was eliminated by the committee)

h)         The fiscal year of the St. Catherine of Siena Men's Club shall be from September 1 to August 30th; During the summer months following their election, the Executive Board shall meet for the purpose of setting an annual budget for the upcoming fiscal year based on the past year's revenues and expenditures. The Executive Board shall also have the authority to recommend the dedicate of funds raised from a specific fundraiser to be used for a particular purpose or goal, which recommendation shall be referred to the general membership for approval by majority vote at the next regular monthly meeting.

i)          The St. Catherine of Siena Men's Club shall maintain the following bank accounts:

  1.             A minimum of $10,000.00 shall always be maintained in a savings account or one year Certificate of Deposit as reserve funds.

  2.             Dues shall be placed in a checking account to be used for the general expenses necessary to the running of the Club.

  3.             Funds raised through gaming activities (such as the $10,000.00 Raffle) shall be placed in an operating account. Funds available [or expenditures as approved by the general membership shall be placed in a disbursements account.

  4.             Funds raised through other general, nongaming, fundraising activities shall be placed in a separate, Fundraising checking account to be available for expenditure as approved by the general membership.

The Pastor shall have signatory authority on all accounts of the St. Catherine of Siena Men's Club.

Section 4. CONDUCT OF MEMBERSHIP MEETINGS

a)            The order of business of the membership meetings shall be as follows:

  1.             Opening Prayer

  2.             Reading of minutes of previous meeting

  3.             Treasurer's Report

  4.             Reports of Standing Committees

  5.             Reports of Special Committees

  6.             Correspondence

  7.             Unfinished Business

  8.             New Business

  9.            Adjournment and Closing Prayer

b)         All formal business of the membership shall be initiated only by motion duly made and seconded.

c)         Motions to institute new programs or activities shall be referred to the Executive Board for study and recommendation to be presented at the next membership meeting.

Section 5.    DUTIES OF STANDING COMMITTEES

a)            Entertainment Committee:

                        1)            Plan the monthly meeting program.

                        2)            Plan all social activities for the Club.

b)            Publicity Committee:

                        1)            Obtain Publicity for all functions of the Club.

2)            Promote the Club and accomplishments of the Club through the use of all news media, such as the School Bulletins, etc.

c)            $10,000.00 Raffle Committee:

1)            Obtain all necessary permits from proper governmenta1 and parish authorities, sign leases and contracts for the holding of the annual $10,000.00 Raffle and see to the orderly running of the annual $10,000.00 Raffle.

2)            Provide a report at each monthly meeting of the membership and of the Executive Board regarding the progress of the committee in holding the Raffle and a final report following the Raffle.

d)            Athletic Committee

                        1)            Inform the membership of any Athletic Events scheduled.

                        2)            See to the proper running of volleyball, Softball, etc.

e)            Sick and Fraternal Committee

1)            Inform the membership of the death of any member or their immediate family and convey condolences to same.

2)            Convey Best Wishes for a speedy recovery in the event of major illness or surgery to any member or their immediate family.

f)            Membership and Welcoming Committee

1)            Shall welcome new members and foster the participation in Club activities by all members.

g)            School Board Committee

1)            Shall represent the Club on the St. Catherine of Siena School Board as a voting member and report pertinent information to the Board and the membership.

Section 6.    DUES

a)         The membership dues for this organization shall be $30.00 [$40.00] per year, due September of each year.

b)          No member shall be entitled to vote without having paid his dues.

c)         Dues are delinquent after the October meeting, except for new members wishing to join after the October meeting.

d)         Members who have been in continuous and active members for 20 years shall be entitled to a lifetime membership in the St. Catherine of Siena Men's Club and their dues shall be thereafter waived.
